Terms of Use

The JUGGERNAUT APPS, LLC websites, related mobile applications and services (collectively, the “Services”) are made available to you by JUGGERNAUT APPS, LLC subject to these Terms of Use (the “Terms”) and in accordance with the JUGGERNAUT APPS, LLC Privacy Policy (the “Privacy Policy”). More information about the Services may be found at www.juggernautai.app. You agree to comply with these Terms and any supplemental terms which JUGGERNAUT APPS, LLC makes available to you on the Services which shall form part of the Terms. This agreement was written in English; to the extent a translated version conflicts with the English version, the English version controls.

If you access or use the Services on behalf of a company or other entity, you represent that you have authority to bind such entity and its affiliates to these Terms. The Services cannot be provided without JUGGERNAUT APPS, LLC processing data about you and other athletes; processing of the data you share is essential to the Services and a necessary part of our performance of the agreement we have with you.

Notice Regarding Dispute Resolution: These Terms contain provisions that govern how disputes between you and JUGGERNAUT APPS, LLC are resolved, including an agreement to arbitrate, which will, unless you reside in the European Union, with limited exception, require you to submit claims to binding and final arbitration on an individual basis, unless you opt out as described below.

Eligibility & Registration

The Services are intended solely for persons who are 13 years old or such higher age required in your country. If you are under the legal age to form a binding contract in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

To use the Services, you must register. You agree to: (a) provide true, accurate, current and complete information about yourself (“Athlete Data”) and (b) maintain and promptly update the Athlete Data. If you provide Athlete Data that is inaccurate or not current, JUGGERNAUT APPS, LLC has the right to suspend or terminate your account and refuse current or future use of the Services.

You are solely responsible for maintaining the confidentiality of your password and for restricting access to your computer and mobile device while logged in. You accept responsibility for all activities that occur under your account. You agree to immediately notify JUGGERNAUT APPS, LLC of any unauthorized use of your account or password, or any other breach of security.

Payments & Fees

Payments. To pay any fee, you must designate and provide information about your preferred payment method (e.g., credit card, online payment service, or a third party like iTunes or Google Play). If you provide payment information, you authorize us and certain third-party service providers, payment card networks and payment processors to receive, store and encrypt it. No refunds or credits will be provided other than as set forth in these Terms.

Fees. Subscription fees, along with any required taxes, may be paid on a monthly or annual basis and are payable in advance. When changing from a monthly to an annual subscription, the unused portion of the current monthly billing period will be prorated and credited toward the annual subscription. JUGGERNAUT APPS, LLC reserves the right to increase subscription fees or institute new fees at any time upon reasonable advance notice.

Auto-Renewal. Subscription fees will be billed automatically at the start of the monthly or annual period and auto-renew until your subscription is downgraded or terminated. You may cancel at any time, as described below.

Cooling Off. If you reside outside the United States, you may be entitled to a full refund within fourteen (14) days, provided you have not logged in or otherwise started to use the Services as a subscriber during that period.

Cancellation.If you signed up on juggernautai.app, cancel by visiting your “Account” page and selecting “Manage Subscription.” If you signed up through Google Play or the iTunes store, cancel by downgrading through the corresponding store. Cancellation goes into effect at the end of your current billing cycle.

Discounts. Your subscription may start with a discount, lasting for the period specified when you signed up. Discounts may not be combined with certain other offers. JUGGERNAUT APPS, LLC reserves the right to alter discounts at its discretion.

Conduct

The Services are for your personal and noncommercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any portion of the Services for any commercial purpose. Prohibited activities include, without limitation: copying, framing or mirroring any part of the Services; permitting third parties to access the Services; reverse engineering or attempting to extract source code; publishing content that is illegal, harmful, infringing or fraudulent; attempting to disrupt or violate the security of the Services; avoiding payment of fees; scraping or automated access; harvesting information about other users; bypassing access-control measures; violating applicable law; or removing proprietary notices.

You represent and warrant that you are authorized to create your account, that you own the Content you post or have the right to grant the licenses in these Terms, and that your Content does not violate the rights of any third party.

Third Parties

Third-party products and services made available on the Services are offered directly by the applicable third party; when you purchase them you are contracting directly with that third party. JUGGERNAUT APPS, LLC does not endorse and is not responsible for any content, products or materials on external sites or resources linked through the Services.

Proprietary Rights

The Services, associated software, aggregated data and Content contain proprietary and confidential information protected by intellectual property laws. JUGGERNAUT APPS, LLC grants you a personal, revocable, non-transferable, non-sublicensable and non-exclusive license to access and use the Services. The JUGGERNAUT APPS, LLC name, logos and product names are exclusive trademarks of JUGGERNAUT APPS, LLC and may not be used without prior written permission. All rights not expressly granted are reserved.

Claims of Infringement

If you believe in good faith that materials hosted by JUGGERNAUT APPS, LLC infringe your copyright or trademark rights, you (or your agent) may send us a DMCA notice requesting that the material be removed or access to it blocked, containing the statutorily required information. Counter-notices are also accepted per the DMCA. We suggest you consult your legal advisor before filing; there may be penalties for false claims.

Your Feedback

If you provide comments, feedback or suggestions regarding the Services, you grant JUGGERNAUT APPS, LLC a worldwide, non-exclusive, transferable, assignable, sub-licensable, perpetual, irrevocable, royalty-free license to use and exploit such Feedback. Please do not send Feedback you do not wish to license on those terms.

Disclaimer of Warranties & Liability

THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND CONTENT AVAILABLE THROUGH THE SERVICES ARE PROVIDED TO YOU “AS IS” AND WITHOUT WARRANTY OF ANY KIND, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT.

YOU EXPRESSLY AGREE THAT JUGGERNAUT APPS, LLC IS NOT PROVIDING MEDICAL ADVICE VIA THE SERVICES. CONTENT PROVIDED THROUGH THE SERVICES IS NOT INTENDED TO BE USED IN PLACE OF THE ADVICE OF YOUR PHYSICIAN OR OTHER MEDICAL PROFESSIONALS. SHOULD YOU HAVE AN EMERGENCY, CALL YOUR PHYSICIAN OR 911 IMMEDIATELY.

YOU EXPRESSLY AGREE THAT YOUR ATHLETIC ACTIVITIES (INCLUDING FOLLOWING A JUGGERNAUT APPS, LLC TRAINING PLAN) CARRY CERTAIN INHERENT AND SIGNIFICANT RISKS OF PROPERTY DAMAGE, BODILY INJURY OR DEATH AND THAT YOU VOLUNTARILY ASSUME ALL KNOWN AND UNKNOWN RISKS ASSOCIATED WITH THESE ACTIVITIES.

YOU EXPRESSLY AGREE TO RELEASE JUGGERNAUT APPS, LLC, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, REPRESENTATIVES, EMPLOYEES, PARTNERS AND LICENSORS FROM ANY AND ALL LIABILITY IN CONNECTION WITH YOUR ATHLETIC ACTIVITIES AND/OR USE OF THE SERVICES. THE COMPANY'S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (a) FIFTY DOLLARS ($50) OR (b) THE FEES PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM. IF YOU ARE A CONSUMER RESIDING IN THE EUROPEAN UNION, THESE TERMS DO NOT AFFECT YOUR STATUTORY REMEDIES.

Indemnity

You agree to indemnify and hold JUGGERNAUT APPS, LLC and its subsidiaries, affiliates, officers, agents, representatives, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, arising out of Content you submit, your use of the Services, your athletic activities, your violation of the Terms, or your violation of any rights of another person or entity.

Notice for California Athletes

Under California Civil Code Section 1789.3, California users are entitled to the following notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 N. Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.

Dispute Resolution

Arbitration. The parties shall use best efforts to settle any dispute directly through good-faith negotiations as a precondition to initiating a lawsuit or arbitration. Except for disputes relating to intellectual property or if you opt out, all claims arising out of or relating to this Agreement shall be finally settled by binding arbitration administered by JAMS Orange County, excluding rules permitting class actions. You and JUGGERNAUT APPS, LLC expressly waive trial by jury. This provision does not apply to users who live in the European Union.

Class-Action Waiver.Any arbitration shall be conducted in the parties' individual capacities only, not as a class action or other representative action.

Small Claims.Either party may also seek relief in a small claims court for disputes within that court's jurisdiction.

Thirty-Day Right to Opt Out. You may opt out of the arbitration and class-action-waiver provisions by sending written notice within 30 days of registering to: JUGGERNAUT APPS, LLC, Attn: Legal Department, 216 Wake Forest Rd, Costa Mesa, CA 92626, USA.

Time Limitation. Any claim arising out of your relationship with JUGGERNAUT APPS, LLC must be filed within one year after it arose or be permanently barred (does not apply to EU users).

Choice of Law & Forum

These Terms are governed by the laws of the State of California without regard to conflict of laws principles, and the parties consent to the exclusive jurisdiction of the federal or state courts, subject to the Dispute Resolution section. If you are a user based in the European Union, Irish law applies and the Irish courts have exclusive jurisdiction, without prejudice to protections of your local Member State law.

United States Operation

The Services are controlled by JUGGERNAUT APPS, LLC from its offices within the United States. Those who access the Services from other locations do so on their own initiative and are responsible for compliance with applicable local laws. You may not use or export the Content in violation of U.S. export laws and regulations.

Termination

JUGGERNAUT APPS, LLC may, under certain serious circumstances and without prior notice, suspend or terminate your account and/or access to the Services, including for breaches of the Terms, requests by law enforcement, self-initiated deletions, discontinuance of the Services, unexpected technical or security issues, extended inactivity, or nonpayment of fees. Certain sections survive termination, including Proprietary Rights, Disclaimers, Indemnity, and Choice of Law.

General

No joint venture, partnership, employment or agency relationship exists between you and JUGGERNAUT APPS, LLC as a result of these Terms. The Terms constitute the entire agreement between you and JUGGERNAUT APPS, LLC with respect to your use of the Services. If any provision is found invalid, the remaining provisions remain in full force. You may not assign your account or obligations without prior written consent.

Modification of the Terms & Services

JUGGERNAUT APPS, LLC reserves the right to update the Terms at any time and will notify you of material changes. By continuing to use the Services after notice of a modification, you agree to be bound by the modified Terms. JUGGERNAUT APPS, LLC may modify or discontinue the Services, temporarily or permanently, with or without notice.
